Eligibility and Authority
To create or administer a Rovyn Payroll business account,
you must:
have legal capacity to enter into a binding agreement;
provide accurate registration information;
comply with applicable laws; and
accept these Terms.
If you register on behalf of an organization, you represent
and warrant that:
you are authorized to
act on behalf of the organization;
you may provide the information entered into the Service;
you may authorize other users to access the account;
your organization's use of the Service complies with
applicable law; and
you have obtained any approvals required by your
organization.
Rovyn Payroll may request documentation reasonably necessary
to verify your identity, organization, or authority before activating or
continuing your account.
4.
Account Registration and Security
Certain features require a registered account.
You agree to provide information that is accurate, complete,
and current and to promptly update your information whenever it changes.
You are responsible
for:
• maintaining
accurate account information;
• safeguarding
your username and password;
• maintaining
the confidentiality of login credentials;
• enabling
security features where available;
• controlling
who has access to your account;
• assigning
appropriate user roles and permissions;
• removing
access for former employees or unauthorized users; and
• all
activities occurring under your account unless caused by our negligence or a
security incident within our control.
• If you
suspect unauthorized access to your account, you must notify us immediately at support@rovyngroup.com.
To protect our customers and the integrity of the Service,
we may temporarily suspend access where we reasonably suspect:
unauthorized access;
fraudulent activity;
compromised credentials;
a security incident; or
a material violation of these Terms.
5.
Business Administrators and Authorized Users
Business accounts may allow multiple authorized users with
different permission levels.
The organization controlling the account is solely responsible for determining:
• who may
access the account;
• what
permissions each user receives;
• when
permissions are modified; and
• when
access should be revoked.
Depending on their assigned permissions, authorized users
may be able to:
·
manage employees;
·
process payroll;
·
approve payroll;
·
review payroll reports;
·
manage scheduling;
·
approve leave;
·
access payroll history;
·
generate payslips;
·
manage business settings; and
·
perform other administrative functions.
Rovyn Payroll is not responsible
for decisions made by an organization regarding user permissions unless the
issue results directly from a failure of the Service to enforce configured
permissions.
6.
Employee Self-Service
Employers may provide employees with access to an employee
self-service portal.
Depending on the employer's settings, employees may be able
to:
•
view payslips;
•
access payroll history;
•
update limited personal information;
•
view schedules;
•
review attendance records;
•
request leave;
•
access employment-related documents; and
•
use other features made available by their
employer.
•
The employer determines which features are
available to employees.
Employees are responsible
for maintaining the confidentiality of their login credentials.
Access may be modified or revoked by the employer or by
Rovyn Payroll where reasonably necessary for operational, security, or legal
reasons.
7.
Employer Responsibilities
Rovyn Payroll provides payroll software.
We do not become your employer, payroll administrator,
accountant, attorney, tax adviser, or statutory representative merely because
you use the Service.
Employers remain solely responsible for:
•
maintaining accurate employee information;
•
entering accurate salary and wage information;
•
recording hours worked;
•
verifying overtime;
•
reviewing bonuses and commissions;
•
maintaining leave balances;
•
entering deductions;
•
reviewing payroll calculations;
•
approving payroll before processing;
•
paying employees;
•
making required statutory deductions;
•
remitting PAYE, National Insurance
contributions, and other applicable amounts;
•
filing required government returns; and
•
complying with all applicable employment,
payroll, tax, National Insurance, privacy, and other legal obligations.
Unless Rovyn Payroll expressly offers a separate managed
payroll or payment service, these responsibilities remain with the employer.
8.
Payroll Calculations
Rovyn Payroll provides payroll calculations based on
information entered into the Service and payroll rules configured within the
platform.
Calculations may include:
•
gross earnings;
•
net pay;
•
PAYE;
•
National Insurance contributions;
•
employer contributions;
•
payroll levies;
•
overtime;
•
bonuses;
•
commissions;
•
deductions;
•
allowances; and
•
employer payroll costs.
Although we make reasonable efforts to maintain accurate
payroll rules, legislation, contribution rates, tax thresholds, and payroll
requirements may change.
Employers remain solely responsible
for reviewing payroll calculations before approving any payroll run.
Approval of payroll
confirms that the employer accepts responsibility for verifying the payroll
before employees are paid.
If you identify a possible calculation error, you should not
approve the affected payroll until it has been reviewed.
9.
Payroll Approval
Where payroll approval
functionality is available, payroll data is considered preliminary until
approved by an authorized user.
Once payroll has been approved, the Service may use that approval status when generating:
•
payroll reports;
•
payroll history;
•
payslips;
•
statutory reports;
•
employer reports; and
•
other finalized payroll records.
Payroll approval
within Rovyn Payroll does not itself:
•
transfer funds;
•
pay employees;
•
submit government filings;
•
make statutory remittances; or
•
satisfy legal filing obligations,
•
unless those services are expressly offered and
confirmed by Rovyn Payroll.
10.
Government Reporting and Professional Advice
Rovyn Payroll may generate reports intended to assist
employers with payroll obligations, including PAYE, National Insurance
contributions, employer liabilities, payroll levies, and related reporting.
Unless expressly stated otherwise, Rovyn Payroll does not
automatically:
•
file tax returns;
•
submit National Insurance filings;
•
make statutory payments;
•
pay government authorities;
•
act as your accountant;
•
provide legal advice;
•
provide tax advice;
•
provide financial advice; or
•
act as your authorized government
representative.
•
The Service provides software tools and
information only.
Any reports, calculations, forecasts, recommendations,
AI-generated content, or other information made available through the Service
are provided for general informational purposes and should not be relied upon
as legal, accounting, tax, employment, or financial advice.
Where professional advice is required, you should consult a
qualified professional.
11.
Free Trials
Rovyn Payroll may offer eligible customers a free trial to
evaluate the Service before purchasing a subscription.
The duration, features, and limitations of a free trial will
be displayed at the time the trial is offered.
During a free trial, Rovyn Payroll may:
•
limit certain premium features;
•
restrict the number of employees that may be
added;
•
limit integrations or third-party services;
•
restrict payroll processing or payment
functionality;
•
limit exports or reports; and
•
implement reasonable safeguards to prevent abuse
of the trial.
Unless clearly disclosed during registration and expressly
authorized by you, a free trial will not automatically convert into a paid
subscription. You will only be charged after selecting a paid subscription plan
or otherwise authorizing payment.
Following the commencement of a paid subscription after a
free trial, eligible customers may request a refund in accordance with the Refund & Cancellation Policy.
Rovyn Payroll reserves the right to modify, suspend, or
discontinue free trial offers at any time.
12.
Demonstration Environments
Rovyn Payroll may provide temporary demonstration
environments to prospective customers for evaluation purposes.
Demo environments may include fictional or sample:
•
businesses;
•
employees;
•
payroll records;
•
schedules;
•
attendance records;
•
payslips;
•
reports; and
•
other demonstration information.
Unless otherwise specified, demonstration environments are
intended solely for evaluation and may remain available for approximately seven
(7) days.
At the end of the demonstration period, Rovyn Payroll may
suspend or permanently delete the demonstration environment and all associated
demonstration data.
Customers should not enter real employee information,
National Insurance numbers, banking information, payroll data, or other
confidential business information into a demonstration environment unless
expressly authorized by Rovyn Payroll.
We may terminate a demonstration environment immediately if
it is misused or presents a security or operational risk.
13.
Subscriptions and Pricing
Certain features of Rovyn Payroll require an active paid
subscription.
Subscription pricing is displayed on our pricing page or
during the checkout process and may vary depending on factors including:
·
subscription plan;
·
number of active employees;
·
billing frequency;
·
promotional pricing;
·
negotiated business agreements; or
·
enterprise arrangements.
Where employee-based pricing applies, subscription charges
may automatically adjust based on the number of active employees maintained
within the Service.
Applicable taxes, where required, may be added during
checkout.
Rovyn Payroll reserves the right to introduce new
subscription plans, discontinue existing plans, or modify available features.
Questions regarding subscriptions may be directed to: billing@rovyngroup.com
14.
Active Employee Billing
Where pricing is based upon active employees, only employees
designated as Active within the Service will generally be included in the
subscription calculation. Customers are responsible
for accurately maintaining employee statuses.
Rovyn Payroll may implement reasonable validation measures
to prevent deliberate manipulation of employee statuses for the purpose of
avoiding legitimate subscription charges.
The applicable pricing methodology will always be displayed
on the pricing page or within your subscription settings.
If pricing changes apply to existing subscribers, reasonable
advance notice will be provided before revised pricing becomes effective.
15.
Billing and Payment
Subscription fees are payable in advance according to the
billing frequency selected during purchase.
By purchasing a subscription, you authorize Rovyn Payroll
and our authorized payment service providers to charge your selected payment
method for:
·
subscription fees;
·
applicable taxes;
·
authorized recurring charges; and
·
any other charges you expressly approve.
Customers are responsible
for maintaining a valid payment method throughout the subscription period.
Payments are processed securely through trusted third-party
payment providers. Rovyn Payroll does not store complete payment card
information on its own systems.
If a payment cannot be successfully processed, we may:
•
retry the payment;
•
notify the account administrator;
•
provide a reasonable grace period;
•
temporarily restrict premium functionality; or
•
suspend the subscription until payment is
received.
•
Where practical, reasonable notice will be
provided before suspension due solely to non-payment.
Billing enquiries should be sent to: billing@rovyngroup.com
16.
Automatic Renewal
Unless otherwise stated at the time of purchase, paid
subscriptions automatically renew at the end of each billing period.
By purchasing a recurring subscription, you authorize Rovyn
Payroll to charge your selected payment method at each renewal until your
subscription is cancelled.
You may cancel your
subscription at any time through your account settings or by contacting: billing@rovyngroup.com
Cancellation prevents
future renewal charges but does not automatically entitle you to a refund
except as provided in our Refund & Cancellation Policy.
17.
Price Changes
Rovyn Payroll may revise subscription pricing from time to
time.
Any price changes will apply prospectively and will not
affect fees already paid for completed billing periods.
Where a material increase affects an existing recurring
subscription, we will provide reasonable advance notice before the revised
pricing becomes effective.
Customers who do not agree with revised pricing may cancel their subscription before the next
renewal date.
18.
Cancellation
Customers may cancel
their subscription at any time through the subscription settings within the
Service or by contacting billing@rovyngroup.com.
Cancellation:
•
prevents future automatic renewals;
•
does not affect completed billing periods;
•
may qualify for a refund where eligible under the Refund & Cancellation Policy;
and
•
allows continued access in accordance with our Refund & Cancellation Policy.
Following cancellation
or subscription expiry, customers will have forty-eight (48) hours to access
their account and download eligible payroll records, employee information,
reports, payslips, and other available business data before paid access is
removed.
Customers are responsible
for downloading any information they require before the end of this access
period.
19.
Refunds
Refund eligibility
is governed by the Rovyn Payroll Refund & Cancellation Policy, which forms
part of these Terms.
Subject to that Policy:
•
customers who begin a paid subscription
following a free trial may request a refund
within fourteen (14) days of the paid subscription commencing;
•
customers with standard subscriptions may
request a refund within five (5)
calendar days of the applicable charge;
•
approved refunds
will generally be returned to the original payment method where possible;
and
•
refund
requests submitted outside the applicable refund period may be declined except
where required by law.
•
Nothing in these Terms limits any consumer
rights that cannot legally be excluded.
Refund requests
should be submitted to: billing@rovyngroup.com
20.
Account Closure and Data Export
Customers remain responsible
for retaining payroll records and other information required by law or for
their own business purposes.
Following cancellation,
expiry, or termination of a subscription, customers will have forty-eight (48)
hours to export eligible payroll information before paid access is removed.
Available exports may include:
•
payroll history;
•
employee records;
•
payslips;
•
payroll reports;
•
tax reports;
•
leave records;
•
attendance records; and
•
other information made available through the
Service.
•
Exports will be provided only in the formats
supported by Rovyn Payroll at the time of export.
Although Rovyn Payroll performs routine backups as part of
normal operations, customers remain responsible
for maintaining their own copies of payroll records where required by law or
for their business operations.
Following applicable retention periods, account information
may be securely deleted or anonymized in accordance with our Privacy Policy,
Data Processing Information Policy, legal obligations, backup procedures, and
legitimate operational requirements.
Rovyn Payroll is not responsible
for maintaining customer records indefinitely after an account has been closed.
21.

authorization;
•

malicious software;

automated tools;

the Service; or

security, integrity, or availability of Rovyn Payroll.
Rovyn Payroll reserves the right to investigate suspected
misuse and may suspend or terminate access where we reasonably believe this
section or our Acceptable Use Policy has been violated.
22.
Privacy and Data Processing
Our collection, use, storage, disclosure, and processing of
personal information are governed by our:
•
Privacy Policy; and
•
Data Processing Information Policy.
•
These policies form part of these Terms.
Employers using Rovyn Payroll are responsible for ensuring they have an appropriate legal basis to
collect, process, and provide employee information to the Service.
Employers are also responsible
for providing any notices required under applicable privacy or data protection
laws.
Where Rovyn Payroll processes personal information on behalf
of an employer, the employer generally acts as the Data Controller and Rovyn Payroll acts as the Data Processor, except where applicable law provides otherwise.
Rovyn Payroll processes personal information in accordance
with the Barbados Data Protection Act, 2019, together with any other
applicable privacy or data protection legislation.
23.
Security
Rovyn Payroll implements commercially reasonable
administrative, technical, and organizational safeguards designed to protect
the confidentiality, integrity, and availability of the Service and the
information processed through it.
Security measures may include:
•
encrypted communications;
•
secure authentication;
•
access controls;
•
activity logging;
•
routine backups;
•
security monitoring; and
•
periodic security improvements.
•
Although we continually work to protect the
Service, no internet-based system can guarantee absolute security.
Customers remain responsible for:
•
protecting account credentials;
•
maintaining strong passwords;
•
restricting administrative access;
•
assigning appropriate user permissions;
•
maintaining secure devices used to access the
Service; and
•
promptly reporting suspected unauthorized access
or security incidents.
•
Security concerns should be reported immediately
to: support@rovyngroup.com
24.
AI-Assisted Features
Rovyn Payroll may provide AI-assisted tools, virtual
assistants, automated workflows, onboarding guides, payroll insights, help
features, document generation, or other artificial intelligence functionality.
These features are intended to improve productivity and
assist customers in using the Service. AI-generated outputs may contain
inaccuracies, omissions, or outdated information.
Customers remain solely responsible
for reviewing all AI-generated content before relying upon it for:
•
payroll processing;
•
employee payments;
•
tax reporting;
•
employment decisions;
•
legal matters;
•
financial matters; or
•
statutory compliance.
AI functionality is provided as an assistance tool only and
does not replace professional judgment or advice.
25.
Third-Party Services
Rovyn Payroll may integrate with or rely upon third-party
service providers to deliver certain functionality.
These services may include:
•
cloud infrastructure;

artificial intelligence services;
•

•
other technology providers.
•
Third-party providers operate under their own
terms and privacy policies.
While Rovyn Payroll carefully selects service providers, we
are not responsible for the independent
actions, availability, or policies of third-party services beyond our
reasonable control.
26.
Service Availability
We strive to provide reliable and secure access to Rovyn
Payroll. However, we do not guarantee uninterrupted or error-free availability.
The Service may occasionally become unavailable due to:
•
scheduled maintenance;
•
emergency maintenance;
•
software updates;
•
infrastructure failures;
•
internet outages;
•
cyber security incidents;
•
failures of third-party providers;
•
government actions; or
•
circumstances beyond our reasonable control.
Where reasonably practical, we will provide advance notice
of scheduled maintenance. We will make commercially reasonable efforts to
restore services as quickly as possible following unexpected interruptions.
27.
Updates and Changes to the Service
Rovyn Payroll continually improves the Service.
We may introduce new functionality, improve existing
features, modify workflows, or discontinue features where reasonably necessary
due to:
•
technological improvements;
•
regulatory changes;
•
security requirements;
•
operational needs;
•
customer feedback; or
•
product development.
Where practical, reasonable notice will be provided before
changes that materially reduce core paid functionality. Continued use of the
Service following an update constitutes acceptance of the revised
functionality.
28.
Intellectual Property
Rovyn Payroll, including its software, source code,
databases, user interface, documentation, branding, logos, graphics, designs,
reports, templates, content, and related intellectual property, is owned by or
licensed to Rovyn Group and is protected by applicable intellectual property
laws.
Subject to these Terms, customers receive a limited,
non-exclusive, non-transferable, and revocable licence to use the Service for
its intended business purposes during an active subscription.

any part of the Service without prior written
permission from Rovyn Group.
Nothing in these Terms transfers ownership of Rovyn Payroll
or its intellectual property to you.
29.
Customer Data Ownership
As between Rovyn Payroll and the customer, the customer
retains ownership of all business information, payroll records, employee
information, reports, and other data submitted to the Service.
By using Rovyn Payroll, you grant Rovyn Group the limited
rights necessary to:
•
host your information;

generate reports;
•
back up information;
•
transmit data;
•
provide customer support;
•
maintain system security;
•
improve the Service; and
•
comply with applicable legal obligations.
These rights exist only for the purpose of operating and
supporting the Service.
Rovyn Group does not acquire ownership of your payroll or
employee information simply because it is processed through Rovyn Payroll.
30.
Customer Feedback
We welcome suggestions, recommendations, ideas, feature
requests, and other feedback regarding Rovyn Payroll.
If you voluntarily provide feedback, you grant Rovyn Group a
worldwide, perpetual, irrevocable, royalty-free licence to use, modify,
incorporate, and implement that feedback for the purpose of improving our
products and services without compensation to you.
This section applies only to feedback voluntarily submitted
by you. It does not grant Rovyn Group ownership of your payroll information,
employee records, confidential business information, or other customer data.
31.
Suspension and Termination
Rovyn Payroll may suspend, restrict, or terminate access to
the Service where reasonably necessary due to:
•
a material breach of these Terms;
•
non-payment of subscription fees;

fraudulent or illegal activity;

unauthorized access or attempted unauthorized
access;
•
misuse of the Service;
•
abuse of free trials or demonstration
environments;
•
violations of the Acceptable Use Policy;
•
security threats affecting the Service or other
customers;
•
legal or regulatory requirements; or
•
any activity that may expose Rovyn Group, its
customers, or third parties to significant risk.
Where reasonably practical, Rovyn Payroll will provide
notice and an opportunity to remedy the issue before permanently terminating an
account.
Immediate suspension may occur without prior notice where
necessary to:
•
protect customer data;
•
preserve the security or availability of the
Service;
•
comply with legal obligations; or
•
prevent fraud or unlawful activity.
Termination of an account does not relieve the customer of
any outstanding payment obligations incurred before termination.
32.
Force Majeure
Rovyn Group shall not
be liable for any delay, interruption, or failure to perform its obligations
under these Terms where such delay or failure results from events beyond its
reasonable control.
These events may include, but are not limited to:

incidents; or
•
any other event beyond the reasonable control of
Rovyn Group.
Where reasonably practicable, Rovyn Payroll will make
commercially reasonable efforts to restore services as soon as circumstances
permit.
33.
Disclaimer of Warranties
To the fullest extent permitted by applicable law, Rovyn
Payroll is provided on an "as is" and "as available" basis.
While we strive to provide reliable and accurate payroll
software, we do not warrant that:
•
the Service will always be uninterrupted;

every feature will always be available;
•
the Service will always be free from errors or
defects;
•
every payroll calculation will be suitable for
every customer's individual circumstances;

Customers remain responsible

laws.
Nothing in these Terms excludes warranties or rights that
cannot legally be excluded under applicable law.
34.

To the maximum extent permitted by applicable law, Rovyn
Group shall not be liable for any
indirect, incidental, consequential, special, exemplary, or punitive damages
arising from or relating to the use of the Service.
This includes, without limitation:
•
loss of profits;
•
loss of revenue;
•
business interruption;
•
loss of anticipated savings;
•
loss of goodwill;
•

total liability arising from any claim relating to the Service shall not exceed the total subscription
fees paid by the customer for the twelve (12) months immediately preceding the
event giving rise to the claim.
Nothing in these Terms excludes liability that cannot
legally be limited under applicable law.
35.
Indemnification
To the extent permitted by applicable law, business
customers agree to indemnify, defend, and hold harmless Rovyn Group, its
directors, officers, employees, contractors, affiliates, and representatives
from any claims, liabilities, losses, damages, costs, or expenses (including
reasonable legal fees) arising directly from:
•
the customer's unlawful use of the Service;
•
unauthorized processing of personal information;
•
inaccurate or misleading information submitted
by the customer;
•
the customer's violation of these Terms;
•
the customer's violation of applicable laws; or
•
claims arising from the customer's employment or
payroll decisions.
•
This indemnity does not apply to the extent a
claim results directly from Rovyn Group's negligence, wilful misconduct, or
unlawful conduct.
36.
Governing Law and Jurisdiction
These Terms are governed by and shall be interpreted in accordance with the laws of Barbados, without
regard to conflict of law principles.
Any dispute arising from or relating to these Terms or the
Service shall be subject to the
exclusive jurisdiction of the courts of Barbados, except where applicable law
provides otherwise.
Nothing in these Terms limits any legal rights that cannot
be excluded under applicable law.
37.

reflect:
•
improvements to the Service;
•
new features or functionality;
•
changes in legal or regulatory requirements;
•
security enhancements;
•
operational changes; or
•

or by another appropriate method before the changes become effective.
Continued use of the Service after the effective date of the
revised Terms constitutes acceptance of the updated Terms.

to receive communications electronically.
These communications may include:

•
subscription notifications;

for maintaining an accurate email address associated with your account.

communications be in writing where permitted by applicable law.
39.
Severability
If any provision of these Terms is determined by a court of
competent jurisdiction to be invalid,
illegal, or unenforceable, that provision shall be enforced to the maximum
extent permitted by law, and the remaining provisions shall remain in full
force and effect.
Failure by Rovyn Group to enforce any provision of these
Terms shall not constitute a waiver of
any right or provision.
